328 Business Banking Online Application

1. Account opening fee, company search fee and additional fee (if applicable) will be charged. The account opening fee payable for companies registered in Hong Kong and companies incorporated overseas is HKD1,200 and HKD10,000 respectively. The company search fee is HKD200. If the applicant is identified as a Special Company after company search, we will make an appointment with client to meet at our 328 Business Banking Centre for account opening and at that time an additional fee of HK$10,000 will be charged. Any fee paid will not be refunded regardless of the result of application.
   
   
   Special Company refers to but not limited to the following categories:
   
   Company with 3 or more layers in its ownership / controlling structures, or
   Company engaging in money / currency exchange, money transfer or remittance agency services, or
   Trust Account, or
   Company engaging in business related to virtual commodities e.g. entities operating virtual commodities exchange, brokerage, sale or purchase of virtual commodities
2. Our business must a Sole-proprietorship or Limited Company with only one relevant individual established in Hong Kong for more than 1 year, holding a Hong Kong business registration certificate, and the relevant individual must hold a Hong Kong permanent identity card and not a U.S. resident or citizen. Additionally, the applicant must successfully complete online identity verification and submit e-signature in order to enjoy the straight through 328 Business Banking Online Application. And the Bank has the absolute discretion to decide whether you need to visit 328 Business Centre to verify identity and sign relevant account opening forms.
3. All documents submitted are not returnable and any fee paid will not be refunded regardless of the result of application.
4. Additional documents / information for account opening may be required by the Bank if necessary.
5. Relevant Parties (individual) refer to Proprietor / Partners / Principal Shareholders / Beneficial Owners^#/ Directors / Persons Purporting to Act on behalf of the Customer^.
   
   ^#Beneficial owner in relation to a legal person means:
   • In relation to a corporation:
     (a) an individual who
     i. owns or controls, directly or indirectly, including through a trust or bearer share, more than 25% of the issued share capital of the corporation;
     ii. is, directly or indirectly, entitled to exercise or control the exercise of more than 25% of the voting rights at general meetings of the corporation; or
     iii. exercises ultimate control over the management of the corporation; or
     (b) if the corporation is acting on behalf of another person, means the other person.
   • In relation to a partnership:
     (a) an individual who
     i. is entitled to or controls, directly or indirectly, more than 25% share of the capital or profits of the partnership;
     ii. is, directly or indirectly, entitled to exercise or control the exercise of more than 25% of the voting rights in the partnership; or
     iii. exercises ultimate control over the management of the partnership; or
     (b) if the partnership is acting on behalf of another person, means the other person.
   • In relation to an unincorporated body other than partnership:
     (a) means an individual who ultimately owns or controls the unincorporated body; or
     (b) if the unincorporated body is acting on behalf of another person, means the other person.
   • In relation to a trust:
     (a) an individual who is entitled to a vested interest in more than 25% of the capital of the trust property, whether the interest is in possession or in remainder or reversion and whether it is defeasible or not;
     (b) the settlor of the trust;
     (c) a protector or enforcer of the trust; or
     (d) an individual who has ultimate control over the trust.

^Person Purporting to Act on behalf of the Customer is a person appointed to act on behalf of the Customer to establish business relationships, or may be authorized to give instructions to conduct various activities through the account or the business relationship established.
